Profile

Jack Law is the head of Hui Zhong (Shenzhen) Law Firm and specializes in dispute resolution, including international arbitration and commercial litigation. Mr. Law has worked in the PRC judiciary and U.S. courts for several years, and has a thorough understanding of legal practice in China and common law countries. Cooperating closely for years with lawyers in the United States, the United Kingdom and Hong Kong, his team can provide one-stop legal services for companies to resolve cross-border litigation and arbitration. Mr. Law has accumulated rich experience in handling complex and high-profile litigations and arbitrations involving foreign-related contracts and shareholder disputes, and has assisted a large number of PRC and foreign companies to successfully resolved disputes through negotiation, arbitration and litigation procedures.

Representative Cases

International/Domestic Arbitration

  • Represented a Chinese listed company in an arbitration before the HKIAC against a Cayman Islands company regarding an equity acquisition dispute, with a disputed amount exceeding RMB 2 billion.

  • Represented a leading real estate enterprise in a HKIAC arbitration against a Taiwan listed company for disputes arising out of the equity transfer and land development, with a disputed amount over RMB 3 billion.

  • Represented a Chinese company listed in the United States in an arbitration before the ICC seated in London against a major real estate group regarding a control dispute, and successfully assisted the client in taking over material domestic assets.

  • Represented a well-known Chinese hotel industry entrepreneur in a HKIAC arbitration against investors from Mainland China arising out of a control dispute over a multinational top-tier hotel brand, and successfully obtained a comprehensive arbitral award for the client through an expedited procedure.

  • Represented a world-leading pharmaceutical company in an arbitration before the HKIAC over its equity transfer and capital increase agreement dispute with the acquired company, with a disputed amount of approximately RMB 100 million.

  • Represented a Chinese listed company in an arbitration before the SIAC regarding an asset acquisition dispute with the target party, with a disputed amount exceeding RMB 300 million.

  • Represented a BVI company in a HKIAC arbitration against a Cayman company arising out of a share repurchase agreement, and coordinated the winding-up of the BVI company and a Hong Kong anti-suit injunction case.

  • Represented a Chinese listed company in a HKIAC arbitration over its equity repurchase dispute with the investors, with a disputed amount of over US$10 million.

  • Represented a Cayman company in an arbitration before the HKIAC in its dispute with a foreign investment company, and disputes between the company’s actual controllers about equity dilution and infringement of shareholders’ rights, and facilitated settlement of the disputes through document disclosure procedures.

  • Represented a domestic investment fund in a HKIAC arbitration over investment agreement disputes with a Hong Kong listed company and its actual controller.

  • Represented a PRC company in an arbitration related to financial machine sales contract dispute against Japan OKI’s subsidiaries before the SCIA. The disputed amount is approximately RMB 2 billion.

  • Represented a Chinese investment fund to initiate an arbitration against a U.S. entity before the SCIA, and coordinated with U.S. counsel to enforce Chinese arbitration awards in the U.S.

  • Represented a globally renowned infrastructure service provider in an arbitration before the SCIA regarding a share acquisition dispute with a share transferor.

  • Represented an investor in an arbitration before the CIETAC-HK regarding a listing performance guarantee dispute with the controlling shareholder of the target company.

  • Represented a well-known Hong Kong beverage company in its arbitration before the CIETAC involving a dispute over the right to use a well-known trademark.

  • Represented the Chinese subsidiary of a world-leading investment company in an arbitration before the HKIAC concerning an acquisition dispute with a share transferor, with a disputed amount of nearly RMB 100 million; and successfully obtained a asset preservation order from Qingdao Intermediate Court on behalf of the client. This was the first case handled by Qingdao Intermediate Court involving asset preservation between Hong Kong and Mainland China, and a landmark case.

  • Represented a multinational renowned health supplement company in an arbitration before the HKIAC regarding a debt dispute with former executives, and successfully applied for asset preservation in Mainland China courts on behalf of the client.

  • Represented a U.S.-listed medical aesthetics company and its shareholders in an arbitration before the HKIAC concerning a dispute with a former major shareholder arising from a share transfer.

 

Commercial Litigation

  • Represented a U.S.-listed company in a corporate control dispute with its former management in Chinese courts. Successfully obtained a prohibitory injunction against the former management and assisted the client in obtaining all corporate seals and certificates for the Chinese subsidiaries, as well as completing the business registration change of the legal representative, securing full control of all Chinese subsidiaries.
  • Served as the lead counsel in corporate control disputes for a listed company and its domestic and international subsidiaries in control disputes, coordinating with lawyers in litigation and arbitration cases before the British Virgin Islands Court, the HKIAC, and Hong Kong courts.
  • Represented a Hong Kong company to handle a shareholder dispute of its controlled PRC-listed company before the PRC court, securing victories in both first and second instance trials. The disputed amount is about RMB 3 billion.
  • Represented a U.S. company in a civil fraud dispute with its executives before the PRC courts. In collaboration with local counsel from Hong Kong and New Zealand, successfully persuaded the court to support the client's claims via cross-examination, despite the opposing party holding critical evidence.
  • Represented a Hong Kong company in a share transfer dispute with its Mainland subsidiary and its shareholders before the PRC courts. Instructed to represent the client in an appeal against an unfavorable first-instance judgment, the case involved complex PRC and Hong Kong law issues. Through in-depth research into the legal provisions of both jurisdictions, ultimately secured a favorable judgment in the appeal. 
  • Represented a leading global e-commerce platform in applying for the recognition and enforcement of a favorable arbitral award obtained from the American Arbitration Association before the PRC courts. 
  • Represented a Chinese company listed in the United States in applying to a Chinese court for the recognition of a favorable arbitral award obtained from the HKIAC.
  • Represented a Chinese listed company in requesting a Chinese court to refuse the recognition and enforcement of an arbitral award from the American Arbitration. Coordinated with American lawyers and Hong Kong barristers to provide foreign law expert opinions during the process. The disputed assets were worth more than US$100 million, and the settlement amount is less than 20% of the disputed amount. 
  • Represented a Hong Kong company in disputes with the affiliate of a listed company before the Supreme People's Court, High People's Court, and Maritime Court. Through the identification of foreign law, witness testimonies, and leveraging solid common law knowledge, successfully persuaded the appellate court to support the client's claims.
  • Represented a Fortune 500 company in litigation before PRC courts regarding a dispute between its affiliated company and a Hong Kong-listed company over a real estate project, with the amount in dispute exceeding RMB 10 billion.
  • Collaborated with Hong Kong lawyers to represent a Hong Kong company in handling a shareholder dispute involving the malicious collusion and transfer of substantial assets between its Hong Kong company controllers and a PRC company. The disputed amount is about RMB 220 million.
  • Represented a subsidiary of the largest chain supermarket in Europe in handling its contract disputes against its PRC suppliers in PRC courts, and working with HK solicitors to handle an arbitration in Hong Kong arising from the same disputes.

  • In an arbitration before the HKIAC, provided expert opinions on issues including contract fraud, termination, corporate guarantees, and corporate governance under PRC law.
  • In an arbitration before the HKIAC, provided expert opinions on issues such as contract fraud, termination, liquidated damages clauses, and limitation of actions under PRC law.
  • In a Hong Kong High Court litigation case, served as the PRC legal expert appointed by all parties, providing expert opinions on issues such as contract interpretation and implied terms.
