Profile

Dr. Shi Rui has a PhD in law from Jilin University and has more than ten years of experience as a lawyer. His practice focuses on commercial and financial litigation and arbitration. He is adept at handling disputes related to asset management, bulk commodity trading, and equity investment. He has represented dozens of cases in the Supreme People's Court and the Supreme People's Procuratorate, as well as more than 100 cases at all levels of people's courts and various arbitration forums, achieving favorable outcomes.

Dr. Shi is a member of the 10th Financial Professional Committee of the All China Lawyers Association and a practical instructor for master’s students at the Renmin University of China Law School. He has participated in the research work of the State-owned Assets Supervision and Administration Commission of the State Council’s research on ”Legal Risks and Mitigation Strategies in Financing Transactions” and the Supreme People’s Court’s ”Research Project on Legal Issues in the Adjudication of Business Trust Disputes”, Annual Case Study Project of the China Trustee Association and more.

Representative Cases
  • In 2026, represented an investment company in filing a retrial application to the Supreme People's Court regarding an unjust enrichment dispute with Chongqing Yuefeng Real Estate Company. The Supreme People's Court conducted a review and amended the judgment to support the litigation request of the investment company. The case arose from a default on asset securitization products by Peking University Investment Group and is a typical case of asset securitization adjudicated by the Supreme People's Court, involving issues of the authenticity of underlying assets in commercial mortgage loan asset securitization business and unjust enrichment.
  • In 2026, represented a trust company in a trust dispute with an individual. During the first instance proceedings at the Chengdu Intermediate People's Court, the individual withdrew the lawsuit. The case arose from Sichuan Trust (now renamed Tianfu Trust) violating its fiduciary duties, running through the entire restructuring process of Sichuan Trust, involving standards for evaluating the fulfillment of fiduciary obligations by trust companies and issues regarding shareholder liability boundaries of trust companies.
  • In 2025, represented a coal group subsidiary in filing a retrial application to the Supreme People's Procuratorate regarding a contract dispute with Shanxi Zhuogen Power Development Fuel Co., Ltd. After the Supreme People's Procuratorate intervened, the Supreme People's Court conducted a retrial and revised the judgment to support the claims of the coal group subsidiary. The case involves issues of the status of parties and the rights and obligations in financing trade after losing in the second trial and retrial at the Supreme People's Court, which was resolved through a complaint to the Supreme People's Procuratorate.
  • In 2025, represented a fund company in a series of contract disputes against Zhaodong Beidahuang Natural Food Company and others. The People's Court of Xicheng District, Beijing, supported the claims of the fund company. The case concerns the true nature of transactions and the responsibilities of intermediaries in financing trade cases.
  • In 2025, represented an agricultural company in applying for a retrial from the Supreme People's Court regarding a cooperative development contract dispute with the People's Government of Ping Shan County, Hebei Province. The case involves the distribution of rights and obligations and government responsibilities in the collaboration between private capital and local government.
  • In 2024, represented an investment company in applying to the Supreme People's Court for retrial in a series of contract disputes with Western Trust. The case involves whether a forward purchase contract signed between the trust beneficiary and a non-trustee financial institution is invalid due to constituting a hidden guarantee, among other issues.
  • In 2024, represented an individual in a contract validity dispute case. The Supreme People's Court rejected the opposing party's request for retrial. This case is one of a series stemming from the death of a company founder, leading to disputes among heirs over control of the company, involving the true intent of the transferor, identification of heirs, and validity of share transfer contracts.
  • In 2024, represented a bank in a contract dispute case against Yahua Hotel Management (Shanghai) Co., Ltd. CIETAC dismissed Yahua's arbitration request. The case involves unilateral termination rights in the hotel management contract and whether related pandemic prevention policies constitute force majeure during the COVID-19 pandemic.
  • In 2023, represented a trust company in a series of disputes arising from trust business with a leading domestic real estate enterprise. Under the mediation of the Beijing Financial Court, both parties reached a settlement. The case involves the validity of capital increase actions, the validity of third-party profit commitments, and the effectiveness of shareholder voting delegation actions.
  • In 2023, represented a bank in applying to the Supreme People's Court for retrial concerning a savings contract dispute with an individual. The Supreme People's Court directed the Inner Mongolia Autonomous Region High People's Court to hear the case, which ruled in favor of the bank's claims. The case originates from the Tuya large-scale fraud case, involving civil-criminal intersection, certificate validity, apparent agency, and financial consumer protection issues.
  • In 2023, represented a commerce company in a sales contract dispute against Yunzhao Industrial Co., Ltd. and Zhejiang Chuanhua Yuntong Supply Chain Management Co., Ltd. The case involves whether civil and criminal processes should run concurrently amid civil-criminal intersection issues.
  • In 2022, represented a trust company in a financial loan contract dispute with Fujian Taihe New World Real Estate Development Company and Taihe Group. The Beijing High People's Court supported the trust company's litigation request. This case is one of the largest cases arising from a breach by Taihe Group, involving the determination of principal and interest on trust loans, protection of creditors' rights and financing lease rights, coordination among multiple courts, and third-party execution objections, recognized as one of the"Deals of the Year 2023" by China Business Law Journal.
  • In 2022, represented a partnership in a contract dispute with Beijing Ande Medical Intelligence Technology Co., Ltd. and other parties. CIETAC supported the partnership's arbitration request. The case involves the effectiveness and performance of buyback clauses agreed upon in the capital increase agreement, as well as issues related to the enforcement of domestic arbitration awards in Singapore.
  • In 2021, represented a company in a contract dispute with Lianyungang Chuanglian Investment Development Company and the Lianyungang Ganyu District Government. The Supreme People's Court ruled that Chuanglian Company and the Ganyu District Government must return the cooperation funds' principal to the partnership and pay interest at an annualized rate of 24%. The case involves the distribution of rights and obligations and government responsibilities during cooperation between private capital and local government.
  • In 2021, represented a trust company in a business trust dispute with Shenwan Hongyuan Securities Company. The Beijing Financial Court dismissed Shenwan Hongyuan's litigation request. The case involves standards for determining whether the trust company fulfilled its trustee obligations and was included as a typical trust case in the first volume of "Frontier of Financial Legal Governance," co-hosted by the Supreme People's Court, the People's Bank of China, and the China Securities Regulatory Commission.
  • In 2020, represented an asset management company in a loan contract dispute against Shanghai Wandu Real Estate Co., Ltd. and Shanghai Wandu Center Tower Co., Ltd. The Supreme People's Procuratorate supported Wandu Real Estate's appeal and initiated a protest to the Supreme People's Court. After discussion by the judicial committee, the Supreme People's Court dismissed Wandu Real Estate's appeal. The case involves issues at the intersection of civil and criminal law, disputes over deposit certificates, and questions of causation in relation to the damages incurred..
  • In 2020, represented an asset management company in a financial loan contract dispute with Yanzhou Coal Mining Company and others. The Supreme People's Court rejected Yanzhou Coal Mining's retrial application. The case involves issues of the authenticity of factoring contracts and underlying debts, as well as apparent agency.
  • In 2020, represented an investment company in a partnership agreement dispute with Zhonghai Trust. During the first instance proceedings at the Beijing Second Intermediate People's Court, Zhonghai Trust withdrew its lawsuit. The case involves standards and responsibility determinations regarding whether the manager fulfilled trustee responsibilities in limited partnership funds.
  • In 2019, represented a technology company in a contract dispute with Huize Development Group. During the second-instance proceedings in the Supreme People's Court, Huize Development Group withdrew its lawsuit. The case involves the application of the principle of estoppel and issues related to company restructuring.
  • In 2019, represented an insurance company in an insurance contract dispute with Sinopec Shengli Construction Engineering Co., Ltd. After being remanded by the Supreme People's Court, the Jilin Provincial High People's Court still ruled to dismiss Shengli's litigation request. The case involves the payment conditions and scope of war insurance for overseas engineering projects.
  • In 2019, represented a partnership in a contract dispute with Hubei Chengshen Technology Co., Ltd. During the arbitration process at the Beijing Arbitration Commission, both parties reached a settlement. The case involves valuation adjustments in equity investments and buybacks by actual controllers.
  • In 2018, represented a technology group in a private lending dispute with an individual. The Supreme People's Court dismissed the individual's retrial application. The case involves the identification of new evidence in retrial proceedings and the determination of the performance status of the loan contract.
  • In 2018, represented a coking group in a contract dispute with Shanxi Xishan Coal and Electricity Co., Ltd., Xishan Coal and Electricity (Group) Co., Ltd., and Shanxi Coking Coal Group Co., Ltd. The Supreme People's Court overturned the first-instance judgment. The case arises from disputes between private coal mines and state-owned coal enterprises during the integration of coal resources in Shanxi Province, involving issues of the establishment and performance of cooperation agreements.
  • In 2018, represented a mining company in a contract dispute with Ganghe (Shanghai) Economic and Trade Co., Ltd. The Beijing First Intermediate People's Court dismissed Ganghe's litigation request. The case involves liability issues for channel enterprises in financing trade.
  • In 2017, represented a textile company in an insurance contract dispute with China People's Property Insurance Co., Ltd. ChangLe Branch, applying for a retrial from the Supreme People's Court. The Supreme People's Court directed the Fujian Provincial High People's Court to hear the case, which ruled in favor of the textile company's litigation request. The case involves identification issues regarding the establishment and effectiveness time of the insurance contract.

The Inner Mongolia Provincial High People's Court supported the chemical company's litigation request. The case involves issues concerning the allocation of liability between the actual financiers and the conduit companies in a financing trade arrangement.
