Profile

Ms. Wu specializes in litigation and arbitration, with extensive experience in handling a wide range of commercial disputes. She has a deep understanding of legal procedures, core issues, and effective resolution strategies in commercial dispute resolution. Ms. Wu has represented clients at the Supreme People’s Court and various levels of courts across the country, with some of her cases being recognized as landmark cases by the Supreme People’s Court. She has also managed numerous domestic and international arbitration cases, involving institutions such as the ICC, HKIAC, SIAC, CIETAC, SHIAC, SHAC, SCIA, and BAC. Her expertise includes a thorough understanding of the procedures and rules of both international and domestic arbitration bodies. In addition, she has significant experience in the recognition and enforcement of foreign arbitral awards in China, and is well-versed in navigating the intersection between arbitration and court procedures, as well as managing parallel arbitration and litigation proceedings both domestically and internationally. Ms. Wu’s experience spans various sectors, including foreign investment, international trade, construction, pharmaceutical research and licensing, fund investment, and repurchase. She also provides ongoing legal counsel to clients, supporting their day-to-day business operations. With a particular focus on labor law, Ms. Wu has advised numerous Fortune 500 companies on labor-related matters and has successfully handled a wide array of labor disputes. Her client base is diverse, covering industries such as trade, investment, energy, construction, biotechnology, equipment manufacturing, software, and the internet.

Representative Cases

Investment-Related Disputes:

  • Represented a Taiwanese publicly listed pharmaceutical company in an arbitration before the China International Economic and Trade Arbitration Commission (CIETAC) against a Chinese publicly listed pharmaceutical company regarding a joint development of Hepatitis C drugs. The dispute involved issues such as drug approvals, experimental data, equity transfers, and required specialized knowledge in drug research and development. The client ultimately gained a comprehensive victory in the arbitration, which provided them a strong negotiation position in subsequent commercial negotiations, resulting in a satisfactory exit from the joint venture.
  • Represented an Israeli pharmaceutical company in an arbitration before CIETAC regarding a joint venture and equity transfer dispute with its Chinese partner concerning the joint operation of a pharmaceutical sales company. The favorable position achieved during the hearings led to a proactive settlement offer from the opposing party, allowing the client to exit the joint venture on favorable terms.
  • Represented an internet company and its founder in an arbitration before the Shanghai International Arbitration Center (SHIAC) concerning a dispute with investors over a debt-to-equity conversion agreement. The case involved complex legal relationships, including domestic equity, domestic debt, and offshore options. The client achieved a comprehensive victory, avoiding potential losses of over 50 million RMB.
  • Represented an investment fund in a dispute with a company and its founder regarding an investment agreement. The dispute focused on the interpretation of the “material adverse effect” clause. The case was settled in a manner that satisfied the investor, avoiding potential losses exceeding 100 million RMB.
  • Represented a top Chinese technology talent in a dispute over a share repurchase agreement in an arbitration before the Shenzhen Court of International Arbitration (SCIA). The tribunal adopted international arbitration procedures for witness cross-examination, and after eight hearings, the client secured a comprehensive victory, avoiding multi-million RMB losses.

 

Banking-Related Disputes:

  • Represented an Uzbekistani state-owned enterprise in a dispute before a Chinese High Court concerning an independent bank guarantee related to an overseas engineering project undertaken with a Chinese partner. The case was listed as a "Belt and Road" exemplary case by the Supreme People’s Court in its second batch of 2024.
  • Represented a Chinese commercial bank in a contract and commercial fraud dispute against a Hong Kong bank concerning independent guarantees and counter-guarantees issued by the client’s customer. The case was ultimately decided in favor of the client in the second instance by the Supreme People's Court, saving them from potential losses exceeding 100 million RMB. This was the first case to recognize the abuse of claim rights by a bank during the counter-guarantee process.
  • Represented an American livestock company in a dispute before the Shanghai High People’s Court and Beijing Arbitration Commission over independent bank guarantees related to the supply of live animals to a Chinese partner. The client ultimately achieved a comprehensive victory in the second instance, avoiding potential losses exceeding 10 million RMB.
  • Represented a UK wholly-owned Chinese subsidiary in arbitrations and litigations against Japanese and French wholly-owned subsidiaries regarding a series of financing lease contracts for large excavators. The disputes involved approximately 400 cases with substantial amounts at stake. The cases were settled on terms satisfactory to the client.
  • Represented an international trading company in a case involving unjust enrichment due to a mistaken payment. The client bypassed the recipient and directly claimed against the recipient’s lending bank. The complex legal issues involved went through first instance, second instance, and retrial, ultimately resulting in a comprehensive victory for the client, avoiding potential losses exceeding 10 million RMB.

 

Distribution Agreement-Related Disputes:

  • Represented a well-known Chinese automobile manufacturer against multiple Egyptian affiliated companies in parallel litigation and arbitration in the Hong Kong courts, CIETAC, and ICC, concerning manufacturing and distribution agreements for automotive parts. Successfully defended against enforcement, saving the client over 1 billion RMB. This case has become a classic example of parallel dispute resolutions.
  • Represented a French pharmaceutical company in a dispute before SHIAC against Kangmei Pharmaceutical concerning a drug distribution agreement. After winning the case, through strategic execution arrangements, the client recovered a large portion of payments even after Kangmei faced a financial crisis, avoiding losses exceeding 10 million RMB.
  • Represented a luxury eyewear distribution company in multiple litigation disputes related to distribution agreements and rebates, resulting in a settlement favorable to the client.

 

Construction-Related Disputes:

  • Represented a state-owned expressway operating enterprise in contract disputes before a provincial High Court and the Supreme People's Court against its partner concerning a highway construction and operation agreement. The client achieved victories in both instances, recovering losses exceeding 100 million RMB.
  • Represented a leading international chemical company in a dispute before SHIAC concerning a construction contract related to the construction of a chemical plant in Shanghai. The case was settled on terms satisfactory to the client.
  • Represented an American company in handling disputes with suppliers concerning construction projects and equipment sales across various courts and arbitration commissions nationwide, involving nearly 100 cases and amounts exceeding 100 million RMB.

 

Product/Service Quality-Related Disputes:

  • Represented a large Swiss equipment manufacturer in disputes with Chinese companies over equipment sales, involving issues such as equipment quality, performance testing, confidentiality agreements, and intellectual property infringement. The proceedings included ICC arbitration and domestic litigation, with disputed amounts exceeding 100 million RMB.
  • Represented a water purifier manufacturer in a product liability recourse case against sellers. Through strategic use of jurisdictional objections and third-party revocation actions, the client achieved a comprehensive victory.

 

Long-Term Supply-Related Disputes:

  • Represented a U.S. wholly-owned subsidiary in a CIETAC arbitration concerning a contract dispute with a Chinese customer over the long-term supply of oxygen and nitrogen, with a victory for the client.
  • Represented a Chinese supplier in a CIETAC arbitration involving a series of long-term supply contracts with multiple partners.
  • Represented a Chinese company in a dispute with an American company over product development and long-term supply contracts. The case, involving amounts exceeding 3 billion RMB, was administered by CIETAC under English law, resolved through international arbitration procedure.

 

Intellectual Property-Related Disputes:

  • Represented a U.S. company in a retrial before the Supreme People's Court concerning a trademark infringement and unfair competition case against a Chinese company. The retrial resulted in a judgment in favor of the client.
  • Represented a Spanish company in an administrative retrial case before the Beijing High Court concerning the invalidation of a trademark.

 

Other Types of Commercial Disputes:

  • Represented a U.S. airline in a contract dispute with a domestic carrier, achieving a complete victory.
  • Represented a well-known domestic web portal in an administrative lawsuit against consumers and the Administration for Industry and Commerce. The client won the case in the second instance.
  • Represented the heirs of a famous domestic painter in an inheritance dispute, achieving a complete victory.

 

Recognition and Enforcement of Foreign Arbitration Awards:

  • Represented a Malaysian publicly listed company in a case before the Shanghai Second Intermediate People's Court for the recognition and enforcement of an arbitration award made by the Hong Kong International Arbitration Centre (HKIAC), achieving successful enforcement.
  • Represented a Hong Kong-based fund in a case before the Beijing Fourth Intermediate People's Court for the recognition and enforcement of an HKIAC arbitration award, successfully reaching a settlement with the opposing party and obtaining settlement payments.
  • Represented a German company in a case before the Ningbo Intermediate People's Court for the recognition and enforcement of an HKIAC arbitration award, successfully reaching a settlement with the opposing party and obtaining settlement payments.
  • Represented a French company in a case before the Nanjing Intermediate People's Court for the enforcement of an HKIAC arbitration award, with disputed amounts exceeding 1 billion RMB.

  • In 2021, participated in the Beijing International Arbitration Forum and delivered a keynote speech titled “The Independence and Impartiality of Arbitrators — Perspectives from Swiss and English Law.”
  • In 2022, served as a panel expert at the closing ceremony of the Foreign Arbitration Services Capacity Training Camp, organized by the Shanghai Municipal Bureau of Justice, Shanghai Council for the Promotion of International Trade, Shanghai Arbitration Association, United Nations Institute for Training and Research (UNITAR) Shanghai International Training Center, and East China University of Political Science and Law.
